Terms of Service

1. Acceptance of Terms

By accessing or using Voco, you agree to these Terms of Service. Voco is a product of GoldenKall LLC. If you do not agree, do not use the service.

You accept these Terms by the earliest of: (a) signing an order form or service agreement that references these Terms; (b) completing account provisioning; or (c) setting or changing your account password upon your first authenticated login. Where an account is provisioned on your behalf, your first authenticated login and the setting of your password constitute your acceptance of these Terms, including the assumption of risk in Section 12. Your acceptance is recorded together with the version of these Terms then in effect, and we may require renewed acceptance when these Terms materially change.

2. Service Description

Voco is a restaurant-focused AI voice ordering platform provided by GoldenKall LLC that handles inbound phone calls, takes orders end-to-end, and routes them to your kitchen via your connected POS or notification channel.

3. Eligibility and Account Registration

To use Voco, you must be a business owner or authorized representative of a restaurant and provide accurate account, billing, and operational information. You are responsible for maintaining the security of your credentials.

4. Your Responsibilities

  • Provide accurate menu, pricing, hours, and availability information.
  • Comply with applicable laws, including call-recording and customer-notification requirements.
  • Maintain any third-party accounts and integrations you connect to Voco.
  • Use the service only for lawful business purposes and not for fraud, harassment, or privacy violations.

5. Third-Party Integrations

Voco connects to Square and Clover under your authorization. You represent that you have the right to grant such access. We use integration data only to provide the service.

6. Call Recording and Messaging

By using Voco, you consent to call recording and transcription for order accuracy and operational improvement. In SMS order-link mode, Voco sends callers a text message only after they verbally consent on the call.

7. Fees, Billing, and Payments

Service fees are billed according to your selected plan and usage. Plans include a block of minutes; usage above the included minutes is charged at a per-minute rate. All fees are due when invoiced and are non-refundable unless otherwise stated.

Free Trials. Any trial period is provided "as is" and "as available" with no service-level commitment. We may modify, suspend, or end a trial at any time. Our liability during a trial is limited accordingly under Section 11.

Active Subscriptions. A paid subscription does not create any uptime guarantee or service-level commitment except as expressly stated in a separate written agreement signed by GoldenKall LLC.

8. Cancellation and Termination

GoldenKall may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in abusive behaviour. You may cancel your account via the dashboard or by contacting support.

9. Proprietary Rights

GoldenKall LLC and its licensors retain all rights in Voco, the platform, software, and documentation. You retain ownership of your restaurant data submitted through the service.

10. Disclaimer of Warranties

The service is provided "as is" and "as available." GoldenKall LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and noninfringement. We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

To the fullest extent permitted by law, GoldenKall LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, lost data, reputational harm, or any missed, dropped, delayed, or inaccurately captured orders or calls — whether during a free trial or a paid subscription. Our aggregate liability for any claim is limited to the amount you paid to GoldenKall LLC in the three months prior to the claim.

12. Call Forwarding, Customer Control, and Assumption of Risk

Voco answers calls only when you choose to forward your phone line to it. Activating, configuring, and deactivating call forwarding is entirely within your control. By forwarding calls to Voco, you acknowledge and accept the operational risks of automated call handling, including the possibility that an order or call may be missed, delayed, incomplete, or inaccurately captured due to telephony outages, internet or power failures, third-party interruptions, or limitations inherent to automated voice technology.

You are solely responsible for monitoring your call handling and maintaining an independent fallback (such as staff answering or voicemail). GoldenKall does not guarantee that any individual call, order, or reservation will be answered, captured, or completed.

13. Indemnification

You agree to indemnify, defend, and hold GoldenKall LLC harmless from claims arising from your use of the service, violation of these Terms, or infringement of third-party rights.

14. Governing Law

These Terms are governed by the laws of Tennessee, without regard to conflict-of-law principles. Disputes will be resolved in state or federal courts in Knoxville, Tennessee.

15. Changes to Terms

We may update these Terms from time to time. Continued use of Voco after changes means you accept the revised Terms. Material changes may require re-acceptance via the dashboard.
